Sebastian Wawrzyniak

CEO, Lawyer

Since 2010, he has been in charge of a team of lawyers in the SWLEX Sp., z o.o. consulting group (formerly Sebastian Wawrzyniak i Wspólnicy Spółka Komandytowa). SWLEX services a number of capital funds as part of Bridge Alfa, OPIE measure 3.1, private equity As part of SWLEX, legal foundations were laid for the functioning of start-up accelerators in both ScaleUp and Poland Prize. For both competitions, SWLEX successfully provided advice on how to design projects and set up the framework for future efforts. SWLEX offers both legal advice and the management (settlement and coordination) of projects financed from public funds. 

Mr Wawrzyniak was directly responsible, among others, for the early stage of venture capital investments with a total value in excess of PLN 100 million. He was also involved in servicing investment agreements on behalf of start-ups, but also companies looking for subsequent investment rounds, by joining in the negotiation process. Based on previous experience, he has unique knowledge on EU funds, book-keeping and accounting, HR and tax processes (compliance). This allows him to conduct wide-ranging due diligence of investigated entities, but also help companies to undergo legal and financial audits. He believes they key attributes of a lawyer to be the ability to think analytically and understand the business aspects of handled projects. He can discuss issues in a businesslike, matter-of-fact way, because he also understands the viewpoint and needs of VC and start-ups. He is guided by the principle that the client’s growth is his own. 

dr Piotr Górecki

Legal Advisor

PhD in legal sciences (University of Wrocław, specialising in intellectual property law) He completed postgraduate studies in Managing Business (Wrocław University of Economics and Business) and International Finance (Warsaw School of Economics), as well as an the international Programme in European Private Law for Postgraduates. Author of several publications in Poland and abroad on investment funds, civil law, comparative law, and intellectual property.

He acquired his many years of experience in legal servicing as, among others, an in-house lawyer of a publicly traded company active on the financial market (responsible for trans-border matters and protection of intellectual property) and by partnering with IT and new technology companies.

His private interests include literature, modern art, music, European cinema, and hitch-hiking in remote corners of the world.     

Krzysztof A. Szajek

Legal Advisor

An attorney-at-law entered into the list of attorneys-at-law managed by the Poznań Bar Association.

He graduated in law at the Faculty of Law and Administration of the Adam Mickiewicz University in Poznań, completed a postgraduate course in real estate agency at the Faculty of Law and Administration of the Adam Mickiewicz University in Poznań, and postgraduate studies in public procurements at the Faculty of Political Sciences and Journalism of the Adam Mickiewicz University in Poznań. He has also completed a training course on protection of personal data (GDPR), as well as cascade and agile project management (Agile, SCRUM, Kanban), and obtained a mediator’s certificate.

His special areas are company law, civil law, real state law, labour law, public procurement law, intellectual property, and court litigation in business cases. He is involved in legal audits (due diligence) of entities from the IT industry. His interests also extend to new technologies and start-up projects.

He has multiple years of experience in ongoing servicing of business entities and natural persons.

Aneta Szafałowicz

Legal advisor

She graduated at the Faculty of Law and Administration of the Jagiellonian University in Cracow and the School of American Law run together with The Columbus Law School in Washington. Scholarship holder in the Socrates/Erasmus programme at Universidad de Castilla la Mancha in Ciudal Real, Spain. Member of the Poznań Bar Association.

An attorney-at-law with multiple years of experience in legal and corporate servicing of entrepreneurs. Regular court mediator at the Regional Court in Poznań, specialising in civil, business and administrative mediation. Coaches public finance discipline and tax courses. 

Specialises in ongoing legal service of business entities, also from the viewpoint of tax law. Deals with, among others, writing and reviewing contracts, corporate service, and tax and legal analysis.  

In addition to her job, she shares her knowledge by offering free legal advice at a legal clinic.  

Georgi Gruew

Attorney

Graduated in law and art history at the Adam Mickiewicz University in Poznań, and later completed postgraduate studies at the AMU Faculty of History. In 2013, he passed his barrister training and was admitted to the bar. From 2014 to 2016, he was the deputy director of the “Arsenał” Municipal Gallery in Poznań. Partnering with SWLEX in 2011 and again since 2017.

Authored several academic publications on of law, culture and art in both Polish and English. Deals with collaboration between start-ups on one hand and VC funds and acceleration and incubation programmes on the other. Provides support to SWLEX clients in matters related to company law, public aid, and public procurements. 

Dariusz Leśniewski

Attorney

Graduated in law at the Adam Mickiewicz University in Poznań, customs agent, long-time customs officer (e.g. head of the decisions department, enterprise auditor for AEO criteria, IT project and SZPROT system manager); long-time lecturer on customs law at the University of Economics in Poznań, co-author of academic textbooks and publications on customs law; currently customs law coach in a leading Polish coaching company, owner of a consulting company and GDPR maniac.

Cooperates with several companies (including in the IT sector) and public sector institution/organisations (such as the Consumer and Competition Protection Office) as an external DPO or advisor to establish and maintain protection of personal data principles according to personal data protection requirements (information security). Member of the Association of Data Protection Practitioners.

Patrycja Niemczyk

Attorney

Graduated from the Adam Mickiewicz University and the University of Economics in Poznań. Also completed postgraduate studies in transfer prices and tax management at the Warsaw School of Economics. Lectures at MBA studies. Member of working teams affiliated with the Ministry of Digital Affairs. 

Acquired her tax experience working in tax departments of international corporations. Her professional interests include widely understood tax law, with particular emphasis on legal and tax aspects on the stage of planning and documenting transactions between affiliates, as well as the law of new technologies. Authored numerous publications on law and taxes. 

Szymon Gąsiorowski

Finance and accounting

Graduate of the Faculty of Management at the University of Economics in Poznań. Completed postgraduate studies in controlling at the WSB University and in accounting at the University of Economics in Poznań. He has experience in working as a CFO and chief accountant in a variety of industries.

His aim is to ensure that the management can use book-keeping entries to draw conclusions about the functioning of enterprises and individual departments. He also uses his analytic skills to draft financial plans of various projects and undertakings. 

Privately, he is a football fan, amateur long-distance runner and home chief. 

Joanna Cierzniak

Finance and Accounting
A graduate of Finance and Banking at the WSB University in Poznań. She also completed postgraduate studies in Management at the Medical University of Poznań. She has gained professional experience working in the financial and accounting departments of companies from the construction and commercial industries, as well as in an accounting office. Professionally interested accounting in a broad sense, with particular emphasis on management accounting. She has the qualifications of the Financial Director and the Controlling Specialist.

Elena Skuryat

She graduated from the Polotsk State University in Belarus - specialization in Accounting, analysis and audit.

She gained professional experience working in accounting departments of companies from the textile, commercial and construction industries.

In Poland she develops accounting skills and actively helps to service companies in Russian.

Privately she’s interested in classical music.

Adam Szymański

Lawyer / EU Project Accounting Specialist
Graduated in law at the Adam Mickiewicz University in Poznań. Specialises in EU project accounting and takes care to properly collect, record and archive project documentation. Coordinates the work of the secretarial office and other company departments as well as the office’s external activities related to administrative and legal services provided to clients. Is a certified project manager using the PRINCE2 methodology.
